本合同于 由 公司（以下簡稱：甲方）與 公司（以下簡稱：乙方）簽訂。
鑒于；乙方與甲方簽訂工程合同，安裝甲方的空調(diào)設備，雙方同意如下：
This Contract, made as of the day of by and between (hereinafter called Party A) and
(hereinafter called Party B)
WITNESSES:
Wheresa Party B will enter into a contract for work with Party A for the latter’s air-conditioner, the parties hereof, in consideration of the mutual covenants and agreement, agree as follows:
1、 工程名稱：中央空調(diào)設備安裝；Name of Work: Central Air-conditioner Installation
2、 工程地點：在甲方新建的工廠內(nèi)；Location of Work: Party A’s newly building plant
3、 工程范圍：按所附圖樣；Scope of Work: As specified in the drawings.
4、 竣工期限：從配合甲方建廠工程開始，在甲方工廠竣工后30天內(nèi)完成，包括工廠內(nèi)部完工可使空調(diào)設備運轉(zhuǎn)期在內(nèi)。
Time limit for completion: The work hereof shall be commenced in compliance with the construction work of Party A’s plant, including the completion of inner part of the plant when the plant is in the condition that trial run for air conditioning mechanism is possible.
5、 工程總價：美元320萬元整。
Total price of Work: Three million two hundred thousand U. S dollars only.
6、 價款支付：Payment for Work
第一期：甲方在本合同開始實施時支付乙方工程總價30 %，即96萬美元整；
First installment: Party A shall pay to Party B 30percent of the total price for Work, i.e. 960, 000 U. S dollars only at the time when this contract be duly executed.
第二期：甲方在安裝通氣管時，支付乙方工程總價20%， 即64萬美元整；
Second installment: Party A shall pay to Party B 20percent of the total price for Work, i.e. 640, 000 U. S dollars only upon the commencement of installation of air pipes.
第三期：甲方在工程完畢時，支付乙方工程總價40 %，即128萬美元整；
Third installment: Party A shall pay to Party B 40percent of the total price for Work, i.e. 1,280,000 U. S dollars only upon the completion of the Work hereof.
第四期：甲方在工程驗收合格后，支付乙方工程總價余款10 %，即32萬美元整。
Fourth installment: Party A shall pay to Party B the balance of unpaid 10 percent of total price for Work, 320,000 U. S dollars only when the completed Work be duly received and found qualified.
7、 違約罰金：FINE FOR BREACH
如乙方因應自行負責的原因而為按時完成，乙方應付違約罰款，每天按總價0. 1%計算。
In the event Party B shall fail to complete the Work hereof in time owing to such reasons that Party B shall be liable thereto, Party B shall pay a penalty for such default based on 0.1 % of the total price for Work per day.
8、工程增加或減少 INCREASE OR DECREASE OF WORK
如甲方需要修改、增加或減少工程計劃時，總價的增減，應按雙方規(guī)定的單價計算；如屬新增工程，雙方應另外約定該新增工程的單價；如雙方因修改原計劃而將已完成的一部分工程或已運抵工地的材料廢棄，甲方在驗收時，應按雙方協(xié)定的單價付給乙方已完工工程費用及材料費。
In the event Party A shall have amended, increased or decreased its project of construction Work, the corresponding increase or decrease of total price shall be calculated as per the unit price specified herein. In the event there shall be newly increased items of Work, the parties heroes shall enter into an agreement for the unit price of such items. In the event party B shall have to abandon any party of the completed Work or any part of the material s transmitted to the location of Work owing to amendment of construction project by Party A. Party A shall, after having duly received the Work, pay for such completed Work or such materials abandoned as per the unit price specified herein to Party B.
9、工程監(jiān)督SUPERVISION OF PROGRESS
甲方指派的監(jiān)督工程進度人員及其代表有權監(jiān)工并給與乙方指導。乙方應按照甲方人員或代表的指示正確施工。
The personnel for supervision of progress of Work appointed by party A and its representative shall have the authority to supervise the progress of Work and give instructions to Party B, and Party B shall perform correctly in accordance with such instructions of Party A’s personnel or representative without making any excuses.
10、工程終止 INTERRUPTION OF PROGRESS
如甲方通知乙方工程將停工，其原因非乙方負責時，乙方可停工并列舉要求甲方依照已完成工程數(shù)量、已運抵工地材料及其他合理費用在已付工程款內(nèi)增加或扣除。
In the event Party A shall notice Party B to interrupt the progress of Work beyond the causes Party B shall be liable thereto, Party B may withdraw for Work and claim to Party A to pay the price by giving to Party A a list of the amount of completed Work, materials transmitted to the location of Work and the reasonable expenses and fees for checking of such list, and for payment of the amount of such list over the paid installments, or for return of the amount of such list less than the pa8id installments.
11、工程監(jiān)護 CUSTODY OF WORK
在工程開始后，到完工并移交前，已完工工程及工地剩余材料、工具、設備等，均由乙方保管。除不可抗力外，乙方對保管的一切物品負全部責任，如遇不可抗力原因，乙方應詳列損害實情，向甲方提出恢復原狀的價格及日期，以供甲方核實。如甲方?jīng)Q定不再繼續(xù)施工，本合同按第10條規(guī)定終止。
The completed Work and the materials, tools and equipment, etc. To the location of Work shall be under custody of Party B after the commencement of Work and before completion of Work and delivery of the completed Work. Unless in the event of force majeure, Party B shall be fully responsible for any and all accident or damage of the Work under custody of Party B. In circumstances of force majeure, Part B may give a list of damages in detail according to the actual condition of damages and also give a projected list of price and date for recovery from such damages to Party A for check of such lists and for payment. In case Party A shall decide no to continue the progress of Work, this contract shall be terminated under Article 10 hereof.
12、工程保證 WARRANTY FOR WORK
除乙方不予負責的不可抗力或甲方使用不當外，乙方在甲方驗收后保證工程良好一年。
Party B shall warrant the promised condition of the Work one year after the date of receiving the Work by Party A. However, Party B shall not be liable to Acts of God or misuse of the Work by Party A.
13、附件 ATTACHMENTS
本合同之附件應視為本合同的組成部分，與其他條款具有同等效力，附件包括（1）圖紙、（2）估價單。
Attachments hereof shall be made a part of this contract and effective as any other provisions of this contract. Attachments hereof includes: (1) drawings; and (2) pro forma invoice.
14、設備維護 ADDITIONAL PROVISION
乙方應在甲方驗收后，對空調(diào)設備免費定期保養(yǎng)服務一年，每月應派人到廠一次維護正常使用。
Maintenance of mechanism: Party B shall provide free and periodic maintenance service for the air conditioning mechanism hereunder for a year after receiving the Work by Party A by sending maintenance personnel once each month for performing maintenance.
本合同一式兩份，雙方各執(zhí)一份。
This Contract shall be in duplicate to be held each by parties hereof.
鑒于此，本合同經(jīng)雙方代表簽字后正式生效。
In witness whereof, this Contract shall be effective when it is duly signed by both parties.
