Preface 前言
Procurement under projects financed by ODA Loans from Japan Bank for International cooperation, hereinafter and throughout these documents called JBIC, is carried out in accordance with the general principles and procedures laid down in the Guidelines for Procurement under JBIC ODA Loans, dated October 1999(hereinafter called Procurement Guidelines of JBIC ODA Loans).

The sample bidding documents in this publication have been prepared for Executing Agencies to use in the procurement of civil works for large or complex projects through international competitive bidding(ICB). Their use if encouraged as the procedures and practices they convey have been developed through broad international experience, and they comply with Procurement Guidelines of JBIC ODA Loans.

The Conditions of Contract are the Fourth edition 1987 Conditions of Contract for Works of Civil Engineering Construction, Reprinted 1992 with further amendments, incorporating First Edition 1996 Supplement, Section A-Dispute Adjudication Board, prepared by the General Conditions. Part II – Conditions of Particular Application has been replaced by Loans. The “ Notes and Additional Clauses to Section 3”, at the end of this book, explain the and Part ii-Conditions of Particular Application prepared by FIDIC.

As stated in the foreword at the beginning of this document, the FIDIC Conditions comprise both Part I and Part II. Certain Clauses, namely Sub-Clause 1.1 paragraph (a) (i) and (iv), 5.1 (part), 14.1, 14.3, 68.3, and 70.1 must include additional wording in Part II for the Conditions to be compete. Other Clause may require additional wording to supplement Part I or to cover particular circumstances or the type of work (dredging is an example).
Part II Conditions of Particular Application with guidelines for the preparation of Part II are printed in a separately bound document.

1. Having examined the Conditions of Contract, Specification, Drawings, and Bill of Quantities and Addenda Nos. for the execution of the above-named Works, we the undersigned, offer to execute and complete such Works, and remedy any defects therein in conformity with the Conditions of Contract, Specification, Drawings, and Bill of Quantities and Addenda for the sum of or other such sum as may be ascertained in accordance with said Conditions.
2. We acknowledge that the appendix forms part of our Tender.
3. We undertake, if our Tender is accepted, to commence the works as soon as is reasonable possible after the receipt of the Engineer’s notice to commence, and to complete the whole of the Works comprised in the Contract within the time stated in the Appendix to Tender.
4. We agree to abide by this Tender for the period of days from the date fixed for receiving the same and it shall be remain binding upon us and may be accepted at any time before the expiration of that period.
5. Unless and until a formal Agreement is prepared and executed this Tender, together with your written acceptance thereof, shall constitute a binding contract between us.

INSTRUCTIONS 投標人須知
These sample bidding documents are intended to serve as a model for the admeasurement (unit price or unit rate) type of contract, which is the most common in civil works contracting. They require substantial modifications to adapt them for use in other forms of works contract ,such as lump-sum or turnkey. They should not be used for “supply and erect” contracts nor for turnkey contracts involving the supply of major equipment. These documents are intended for large or complex works, and may not be suitable for small-scale construction contracts.

While the use of these sample bidding documents is not mandatory, their use is encouraged as the procedures and practices they incorporated have been developed through broad international practice and experience, and they comply with the Guidelines for Procurement under JBIC ODA Loans, dated October 1999. As an example of general conditions of contract, reflecting the admeasurement contract, the Federation Internationale des Ingenieures- Conseils (FIDIC) “ Conditions of Contract (International ) for Works of Civil Engineering Construction” have been included in these sample bidding documents. In the event other Conditions of Contract are to be used, they should preferably cover all Clauses listed in the “Table of Contents “ of the FIDIC document. Use of these sample documents requires among other things completing the specific details and deleting inappropriate alternative provisions in all the places indicated. The following directions should be observed when using the documents:

（i） All the documents listed in the contents are normally required for procurement of works. However, they should be adapted as necessary to the circumstances of the particular project or the Borrower.

(ii) Specific details, such as the name of the Employer, address for bid submission, etc., should be furnished in the spaces indicated by italicized notes inside parentheses.

（iii） The footnotes and “boxed” notes in the sample documents and italicized notes preceding each sample document and preceding or incorporated in the text are not part of the contract documents, but contain guidance and instructions for the user. (vi) The subsection entitled “Part II – Conditions of Particular Application” included in these sample documents only provided guidance on the various topics that should or may be covered in that Part. The user of these sample documents must specifically draft provisions for that Part appropriate to each particular project.

(vii) Prequalification of bidders is required for most civil works contracts to ensure that only technically and financially capable firms will be invited to submit bids. (These sample bidding documents assume prequalification).
The process of prequalification of bidders is not covered in these sample documents. Refer to the sample prequalification documents for works, major equipment, industrial installations and turnkey contracts available from JBIC.
Borrowers of JBIC ODA Loans should stated if, and to what extent, these sample documents have been used in the preparation of actual bidding documents submitted to JBIC for review.

The Invitation for Bids ( see Procurement Guidelines of JBIC ODA Loans) shall be issued to all contractors who were determined by the Borrower to be qualified in accordance with the Borrower’s prequalification procedure.
Its purpose is to supply information to enable prequalified bidders to decide on their participation.
The Invitation for Bids should be incorporated in the bidding documents, and the information contained therein shall conform to them.
本邀請函（見協(xié)力銀行采購指南）給予所有符合借款人資格預(yù)選程序的借款人。

1. The ［Name of Borrower］has received (or where appropriate, “has applied for ”) an ODA Loan from JAPAN BANK FOR INTERNATIONAL COOPERATION (hereinafter referred to as JBIC) in the amount of Yen toward the cost of ［name of project, the signed date of Loan Agreement］, and intends to apply (where appropriate, “a portion of ”) the proceeds of the loan to payments under the contract. Disbursement of an ODA Loan by JBIC will be subject, in all respects, to the terms and conditions of the Loan Agreement, including the disbursement procedures and the “Guidelines for Procurement under JBIC ODA Loans”. No party other than ［name of Borrower］shall derive any rights from the Loan Agreement will cover only a part of the project cost. As for the remaining portion, ［name of Borrower］will take appropriated measures for finance.

2. JBIC requires that bidders and contractors, as well as ［name of Borrower］，under contracts fuined with JBIC ODA Loans and other Japanese ODA, boserve the highest stanard of ethics during the procurement and execution of such contracts. In pursuance of this policy, JBIC;
(a) will reject a proposal for award if it determines that the bidder recommended for award has engaged in corrupt or fraudulent practices in competing for the contract in question;
(b) will recognize a contractor as ineligible, for a period determined by BJIC, to be awarded a contract funded with JBIC ODA Loans if it at any time determines that the contractor has engaged in corrupt or fraudulent practices in competing for, or in executing, another contract funded with JBIC ODA Loans or other Japanese ODA.

Section 1 INSTRUCTIONS TO BIDDERS 投標須知
Notes on the Instructions to Bidders 告知函
Section 1 should provide the information necessary for bidders to prepare responsive bids in accordance with the requirements of the Employer. It should give information on bid submission, opening of bids, clarification of bids, evaluation of bids and on the award of contract.
根據(jù)業(yè)主要求，第一條應(yīng)為投標人準備響應(yīng)招標提供必要的信息，應(yīng)提供有關(guān)投標、開標、澄清標書、評標和授標的信息。
Matters governing the performance of the Contractor under the Contract, payments under the Contract, or matters affecting the risks, rights, or obligations of the parties under the Contract must not be included in this section, but rather in the sections on General or Particular Conditions of Contract. If duplication of a subject is inevitable in the different sections of the documents, the user should exercise care to avoid contraction or conflict between clauses dealing with the same topic.

These Instructions to Bidders will not be part of the Contract, however, the User (Employer) is required to reflect its main points in the contract.

SECTION 1. INSTRUCTIONS TO BIDDERS 第一條 投標人須知
A. GENERAL總則
1. Scope of Bid招標內(nèi)容
1.1 The ［name of Employer］(hereinafter referred to as the Employer), wishes to receive bids for the construction and completion of ［insert the name of the Project and specific Works, and a summary description of its key elements, so as to clearly identify distinguish it from other works］, as defined in these bidding documents (hereinafter referred to as the Works).
----（采購方名稱）（以下稱“采購方”）希望以國際招標的方式采購第四部分中所述的貨物，材料和設(shè)備。
1.2 The successful bidder will be expected to complete the Works within ［days］ from the date of commencement of the Works.
中標人應(yīng)從開工日開始在 期限內(nèi)完成工程。
2. Source of Funds資金來源
2.1 The ［Name of Borrower］ has received (or where appropriate, “has applied for”) an ODA Loan from JAPAN BANK FOR INTERNATIONAL COOPERATION (here in after referred to as JBIC) in the amount of Yen toward the cost of ［name of project, the signed date of Loan Agreement］, and intends to apply (where appropriate, “a portion of ”) the proceeds of the loan to payments under this contract. Disbursement of an ODA Loan by JBIC will be subject, in all respects, to the terms and conditions of the Loan Agreement, including the disbursement procedures and the “Guidelines for Procurement under JBIC ODA Loans”. No party other than ［Name of Borrower ］shall derive any rights from the Loan Agreement or have any claim to loan proceeds. The above Loan Agreement will cover only a part of the project cost. As for the remaining portion, ［Name of Borrower］ will take appropriate measures for finance.

JBIC requires that bidders and contractors, as well as ［Name of Employer］,under contracts funded with JBIC ODA Loans and other Japanese ODA, observe the highest standard of ethics during the procurement and execution of such contracts. In pursuance of this policy, JBIC;
協(xié)力銀行協(xié)力銀行的要求官方發(fā)展援助貸款和其它日本官方發(fā)展援助貸款項目項下的合同的投標人、簽約人和借款人在采購和執(zhí)行合同中都遵守最高的道德標準。為此，協(xié)力銀行：
(a) will reject a proposal for award if it determines that the bidder recommended for award has engaged in corrupt or fraudulent practices in competing for the contract in question;
一旦認定被推薦的中標人在有關(guān)合同競爭中帶有腐敗或欺詐行為，將拒絕授標；
(b) will recognize a contractor as ineligible, for a period determined by JBIC, to be awarded a contract funded with JBIC ODA Loans if it at any times determines that the contractors has engaged in corrupt or fraudulent practices in competing for, or in executing, another contract funded with JBIC ODA Loans or other Japanese ODA.
無論何時，一旦認定某簽約人在協(xié)力銀行或其它日本官方發(fā)展援助貸款項目下另一合同的競爭或執(zhí)行中有腐敗或欺詐行為，將在協(xié)力銀行確定的期限內(nèi)，認定該簽約人為無資格再被授予合同的人。
3. Eligible Bidders合格投標商
3.1 This Invitation to Bid is open to prequalified bidders meeting both of the following requirements;
投標邀請書適用第四部分中的所有合格貨源國的合格投標商，合格投標商應(yīng)滿足以下兩條要求：
(a) a bidder ( including all members of a joint venture) shall be from an eligible source country as listed in Section 5; and
投標商（包括聯(lián)合體投標的所有成員）應(yīng)來自第四部分列明的合格貨源國；并且
（b）a bidder (including all members of a joint venture) shall not be one of the following:
屬于以下三種情況之一的投標商（包括聯(lián)合體投標的所有成員）不允許參與投標：
（?。?A firm or an organization which has been engaged by the Employer to provided consulting services for the preparation related to procurement for or implementation of this project;
受雇于采購方并為其項目的準備采購或?qū)嵤┨峁┳稍兎?wù)的公司或組織；
（ⅱ）Any association/affiliates (inclusive of parent firm) of a firm or an organization mentioned in subparagraph (ⅰ) above; or
與i）中所述的公司或組織關(guān)聯(lián)的公司（包括母公司）；
（ⅲ）A firm or an organization who lends, or temporarily seconds its personnel to firms or organizations which are engaged in consulting services for the preparation related to procurement for or implementation of the project, if the personnel would be involved in any capacity on the same project.
出租或臨時派出其人員在受雇于采購方并為其項目的準備采購或?qū)嵤┨峁┳稍兊墓净蚪M織工作，并在項目中參與工作。
3.2 Bidders shall provide such evidence of their eligibility satisfactory to the Employer as the Employer shall reasonably request.
投標人應(yīng)按照業(yè)主要求提供證明其為合格的證明。
Eligible Equipment and Services合格貨物
Not applicable in case the eligible source countries are all countries and areas.
若合格貨源國系全世界所有國家和地區(qū)，則第4條“合格貨物”即不適用。
4. Eligible Equipment and Services合格貨物
4.1 Any contract under which equipment and/or services are procured from countries other than the eligible source countries as defined in Sub-Clause 3.1 above for the implementation of the project will be eligible for financing under JBIC ODA Loans if the combined costs of such equipment and services are less than 50 percent of the price of the said contract.
如采用協(xié)力銀行官方發(fā)展援助貸款，在項目實施中采購的合同貨物若非上述3。1 條定義的合格貨源國的貨物，則此類貨物的金額不應(yīng)超過合同金額的50%。
4.2 At the Employer’s request, bidders may be required to provide evidence of the origin of equipment and services.
應(yīng)采購方要求，投標商應(yīng)提供貨物原產(chǎn)地的證明文件。
5. Qualification of the Bidder投標商資格
5.1 To be qualified for award of Contract, bidders shall: 合格投標商應(yīng)是：
(a) submit a written power of attorney authorizing the signatory of the bid to commit the bidder; and
提供書面授權(quán)書證明其投標文件簽字的有效性；和
(b) submit documentary evidence establishing that the bidder has adequate experience, financial capacity and technical capability to undertake the Contract. Confirmation of these matters may involve the updating, verification and reassessment of information which may previously have been considered during prequalification, and an assessment of bidder’s proposals regarding work methods, scheduling and resourcing which shall be provided in sufficient detail to confirm the bidder’s capability to complete the works in accordance with the specification and the time for competition.
提供文件資料證明投標商有足夠的經(jīng)驗、財務(wù)能力及技術(shù)能力來執(zhí)行合同。這些事項的確認包括可以在資格預(yù)選中可以前期進行信息的更新、查證和評估，以及對投標人有關(guān)方法、程序和資金來源的建議的評估。投標人應(yīng)提供有能力按照竣工的規(guī)定和時間完成工程的充分具體的資料。
5.2 Bids submitted by a joint venture of two or more firms as partners shall comply with the following requirements:
以兩家或三家公司伙伴作為聯(lián)合體投標的投標文件應(yīng)滿足以下要求：
（a）the bid, and in case of a successful bid, the Form of Agreement, shall be signed so as to be legally binding on all partners;
投標文件，合格的投標文件必須有合作伙伴之間應(yīng)針對所投標的簽署約束所有成員方的，具有法律效力的協(xié)議書；
（b） one of the partners shall be authorized to be in charge; and this authorization shall be evidenced by submitting a power of attorney signed by legally authorized signatories of all the partners;
聯(lián)合體的其中一個合作方應(yīng)被授權(quán)為主負責(zé)方；合作伙伴之間簽署的具有法律效力的授權(quán)書中應(yīng)證明此授權(quán)；
（c）the partner in charge shall be authorized to incur liabilities, receive payments and receive instructions for and on behalf of any or all partners of the joint venture;
主負責(zé)方被授權(quán)承擔(dān)責(zé)任、收取付款、接受有關(guān)投標和執(zhí)行合同方面的采購方通知，并可代表聯(lián)合體的任何一方或所有成員方；
(d) all partners of the joint venture shall be jointly and severally liable for the execution of the Contract in accordance with the Contract terms, and a relevant statement to this effect shall be included in the authorization mentioned under(b) above as well as in the Bid Form and the Form of agreement (in case of a successful bid); and
聯(lián)合體的所有成員方應(yīng)就合同條款共同分擔(dān)合同的義務(wù)，且有關(guān)責(zé)任與義務(wù)應(yīng)在上述（b）條所要求的授權(quán)書中、投標格式書及聯(lián)合體之間的協(xié)議書中規(guī)定；
(e) a copy of the agreement entered into by the joint venture partners shall be submitted with the bid.
聯(lián)合體之間的協(xié)議書應(yīng)與投標文件一起遞交。
6. One Bid per Bidder一價一投
6.1 Each bidder shall submit only one bid either by itself, or as a partner in a joint venture. A bidder who submits or participates in more than one bid other than alternatives pursuant to Sub-Clause 18.1 will be disqualified.
每個投標商（含聯(lián)合體投標）只能報出一個投標價，選擇價不予接受。
7. Cost of Bidding投標費用
7.1 The bidder shall bear all costs associated with the preparation and submission of its bid and the Employer will ion no case be responsible or liable for those costs.
投標商承擔(dān)所有招標文件的準備和遞交過程中產(chǎn)生的費用，采購方對此不承擔(dān)任何責(zé)任。
8. Site Visit 現(xiàn)場勘察
8.1 The bidder is advised to visit and examine the Site of Works and its surroundings and obtain for itself on its own responsibility all information that may be necessary for preparing the bid and entering into a contract for construction of the Works. The costs of visiting the Site shall be at the bidder’s own expense.
建議投標人勘察工程現(xiàn)場及周邊環(huán)境，自行承擔(dān)投標和簽訂合同時對工程建設(shè)相關(guān)信息的責(zé)任。勘察現(xiàn)場的費用自行承擔(dān)。
8.2 The bidder and any of its personnel or agents will be granted permission by the Employer to enter upon its premises and lands for the purpose of such inspection, buyt only upon the express condition that the bidder, its personnel and agents, will release and indemnify the Employer and its personnel and agents from and against all liability in respect thereof and will be responsible for death or personal injury, loss of or damage to property and any other loss, damage, costs and expenses incurred as a result of the inspection.
投標人及其人員或代理應(yīng)被允許進入現(xiàn)場勘察，但業(yè)主不對此類人員進入現(xiàn)場勘察的行為承擔(dān)任何責(zé)任，由投標人對此類人員勘察的人員死亡、受傷、財物損失或損害以及其他的損失、損害和費用承擔(dān)責(zé)任。
8.3 The Employer may conduct a Site visit concurrently with the Pre-Bid Meeting referred to in Clause 19.
業(yè)主可以在第19條提及的標前會議的同時勘察現(xiàn)場。

9.2 The Bidder is expected to examine carefully the contents of the bidding documents. Failure to comply with the requirements of bid submission will be at the bidder’s own risk. Pursuant to Clause 28, bids which are not substantially responsive to the requirements of the bidding documents will be rejected.
投標商應(yīng)仔細閱讀招標文件，包括全部的須知、格式、條款和規(guī)范。若招標文件所要求的資料未完全提供或所交投標文件不能實質(zhì)性響應(yīng)招標文件的要求，則予以廢標。
10. Clarification of Bidding Documents招標文件的澄清
10.1 A prospective bidder requiring any clarification of the bidding documents may notify the Employer in writing or by fax (hereinafter, the term “fax” is deemed to include electronic transmission such as facsimile, cable and telex) at the Employer’s address indicated in the invitation for Bids. The Employer will respond to any request for clarification which it receives earlier than days prior to the deadline for submission of bids. Copies of the Employer’s response will be forwarded to all purchasers of the bidding documents, including a description of the inquiry.
若需要進一步資料或澄清招標文件，投標商可以通過招標邀請 2中的采購方通訊地址，以書面或傳真（以下“傳真“的定義包括傳真、電報和電傳等電子傳遞方式）方式通知采購方。采購方將以書面方式答復(fù)投標商在不晚于招標文件要求的截標日 天內(nèi)發(fā)來的，針對招標文件索要的信息或澄清。采購方的答復(fù)（包括針對提出的問題的解釋）將以書面或傳真方式發(fā)給所有購買招標文件的投標商。
11. Amendment of Bidding Documents招標文件修改
11.1 At any time prior to the deadline for submission of bids, the Employer may, for any reason, whether at its own initiative or in response to a clarification requested by a prospective bidder, modify the bidding documents by issuing addenda.
截標之前，采購方可以自行決定或以答復(fù)投標商澄清的方式，用補遺文件的形式對外發(fā)出招標文件的修改。
11.2 Any addendum thus issued shall be part of the bidding documents pursuant to Sub-Clause 9.1, and shall be communicated in writing or by fax to all purchasers of the bidding documents. Prospective bidders shall acknowledge receipt of each addendum by fax to the Employer.
根據(jù)第9。1條，補遺文件應(yīng)是招標文件的一部分，并以書面或傳真方式發(fā)給所有的已購買招標文件的投標商，投標商應(yīng)依據(jù)其投標。
11.3 To afford prospective bidders reasonable time in which to take an addendum into account in preparing their bids, the Employer may extend the deadline for submission of bids, in accordance with Clause 22.
為給予投標商充足的時間將補遺文件納入標書的準備過程中，采購方可自行決定，并依據(jù)第 24條延長截標時間。
C. PREPARATION OF BIDS 標書的準備
12. Language of Bid標書語言
12.1 The bid, and all correspondence and documents, related to the bid, exchanged between the bidder and the Employer shall be written in the English language.
投標商準備的投標文件，以及投標商與買方進行的所有與標書有關(guān)的聯(lián)系，都應(yīng)該用英文作成書面文件。
13. Documents Comprising the Bid標書文件的組成
13.1 The bid submitted by the bidder shall comprise the following:
投標商準備的投標文件應(yīng)由下述部分組成：
(a) Bid Form and Appendix to Bid; 標書格式及附錄
(b) Bid Security; 投標保證金
(c) Priced Bill of Quantities; 標價的工程量；
(d) Power of attorney; 授權(quán)委托書
(e) Information on eligibility and qualification; 初選符合的信息
(f) Alternative offers where invited; and 邀請投標的可選擇報價，及
(g) Any other materials required to be completed and submitted by bidders in accordance with these instructions to Bidders.
按照招標指南要求投標人完善和提供的其他材料。
The documents listed under Sections 5, 6, and 9 of Su-Clause 9.1 shall be filled-in without exception, subject to extensions thereof in the same format and to the provisions of Sub-Clause 17.2 regarding the alternative forms of bid secutity.

13.2 Bidders bidding for this Contract together with other contracts to form a package, will so indicated in the Dorm of Bid, together with any discounts offered for the award of more than one contract.
投標人將本合同與其他合同的投標一并提交，應(yīng)說明如果一個以上的合同都被授標的報價折扣。
